1. Acceptance of Terms

By accessing or using the website, services, or SMS messaging program of Tony Jordan Music, LLC d/b/a KickLick (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to all terms, you must not use our services. We reserve the right to modify these Terms at any time; continued use after changes constitutes acceptance.

2. Description of SMS Program and Messaging Use Cases

We provide an SMS (text messaging) program powered by Dayframer (DF) and Twilio for Application-to-Person (A2P) communications. The program is used for the following purposes (message frequency varies and may include automated or manual messages):

• Promotional offers, discounts, and marketing campaigns

• Service updates, appointment reminders, and scheduling confirmations

• Order status notifications and shipping updates

• Account alerts, payment reminders, and billing information

• Customer support responses and follow-up communications

• Any other business-related messages relevant to the products or services you have inquired about or purchased.

By providing your mobile phone number and opting in, you expressly consent to receive recurring SMS messages from us at that number. Consent is not required as a condition of purchase or use of our other services. You must be 18+ to receive SMS notification, messages, etc. from Tony Jordan Music, LLC d/b/a KickLick.

3. Message and Data Rates

Message and data rates may apply according to your wireless carrier’s plan. You are solely responsible for any charges incurred from your carrier for receiving or sending text messages. We are not responsible for any such fees.

4. Instructions to Opt-Out (“Text STOP”)

To stop receiving SMS messages at any time, simply reply STOP (or any reasonable variation such as “STOP”, “Unsubscribe”, “Cancel”) to any message we send. You will receive one final confirmation message that you have been unsubscribed. Once unsubscribed, you will no longer receive any SMS communications from us unless you opt in again through our website or forms. You may also opt out by contacting support (see Section 5).

6. Carrier Liability Disclaimer

Your wireless carrier is not liable for any delays, failures, or undelivered messages. We are not responsible for any carrier-related issues, including but not limited to network congestion, dropped messages, or carrier filtering.

7. Links to Privacy Policy

For complete details on how we collect, use, store, and protect your personal information (including SMS data), please review our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

8. User Accounts, Responsibilities, and Prohibited Uses

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account or phone number. You agree not to:

• Use the services for any unlawful, fraudulent, or abusive purpose

• Send spam, harass, or send unsolicited messages

• Impersonate any person or entity

• Reverse engineer or interfere with our SMS platform

9. Intellectual Property

All content, logos, designs, and software on our website and SMS platform are owned by us or our licensors and protected by U.S. copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any materials without prior written consent.

10. Disclaimers and Limitation of Liability

Our services (including SMS delivery) are provided “AS IS” and “AS AVAILABLE” without any warranties of any kind. We do not guarantee that messages will be delivered on time or at all. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including attorney fees) arising from your use of the services or violation of these Terms.

12. Termination

We may terminate or suspend your access to the SMS program or services at any time, with or without notice, for any reason (including suspected violation of these Terms). You may terminate your SMS subscription at any time by texting STOP.

13. Governing Law, Dispute Resolution, and Severability

These Terms are governed by the laws of the State of Wisconsin without regard to conflict-of-law principles. Any disputes shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Wausau, Wisconsin, under the rules of the American Arbitration Association. If any provision is held invalid, the remainder of the Terms shall continue in full force.

14. Entire Agreement and Changes

These Terms (together with our Privacy Policy) constitute the entire agreement between you and us. We may update these Terms; we will post the new version with a new “Last Updated” date. Your continued use after changes means you accept them.
